Terms and Conditions for Business Customers (B2B)
FOXX Products, s.r.o., Masarykova 49, 071 01 Michalovce, Slovak Republic · Commercial Register of the District Court Košice, Section Sro, File No. 51125/V · VAT ID SK2121450507 (hereinafter “Seller”).
1. Scope
These terms apply to all offers, deliveries and services of the Seller to companies, traders and legal entities (hereinafter “Buyer”). We do not sell to consumers. Deviating purchasing terms of the Buyer apply only if the Seller has agreed to them in writing.
2. Offer and conclusion of contract
Offers are valid for 14 days unless stated otherwise. The contract is concluded by the Seller’s written order confirmation (e-mail is sufficient). Print data, dimensions and quantities approved by the Buyer are binding.
3. Prices
All prices are in EUR, net, plus statutory VAT, EXW Michalovce. Buyers with a valid VAT ID from another EU member state receive an invoice without VAT (intra-Community supply, reverse charge). Packaging in cartons or on pallets is included in the price.
4. Payment
Payment is made in advance on the basis of a proforma invoice. Production or preparation of the goods starts after receipt of payment. Set-off is only permitted with undisputed or legally established claims.
5. Delivery and transfer of risk
Delivery is made, as agreed, EXW or FCA Michalovce (Stavbárov 1, 071 01 Michalovce, Slovakia) in accordance with Incoterms® 2020. The Buyer arranges and pays for transport; on request, the Seller obtains a freight quote in the name and for the account of the Buyer. Under EXW the risk passes to the Buyer when the goods are made available for collection, under FCA upon handover to the carrier named by the Buyer in Michalovce. The Buyer imports the goods and places the packaging on the market in the country of destination; the Buyer fulfils the resulting obligations (e.g. packaging registration).
The delivery date is stated in the order confirmation. Partial deliveries are permitted.
6. Tolerances
The following are customary in the industry and do not constitute a defect: quantity deviations of up to ±10 % for printed labels, dimensional deviations of up to ±0.5 mm, slight deviations in colour, material and surface between production runs and compared with on-screen display. Over- or under-deliveries within the tolerance are invoiced according to the quantity actually delivered.
7. Print data
The Buyer is responsible for the content, correctness and rights to the print data supplied and indemnifies the Seller against third-party claims. After approval of the proof (PDF), errors that were recognisable in it are at the Buyer’s expense.
8. Retention of title
The goods remain the property of the Seller until paid in full.
9. Notice of defects and warranty
The Buyer inspects the goods immediately upon receipt. Obvious defects must be reported in writing within 14 days of receipt, hidden defects immediately upon discovery, but no later than 6 months after receipt, with photos and the batch/order number. In the case of a justified complaint, the Seller provides, at its discretion, a replacement delivery or a credit note. The Buyer checks the suitability of the labels for the specific application (surface, temperature, printer) itself, e.g. with our sample set.
10. Liability
The Seller’s liability is limited to the net order value of the delivery concerned. The Seller is not liable for consequential damage, loss of profit or production downtime. This does not apply in the case of intent or gross negligence.
11. Applicable law and place of jurisdiction
The law of the Slovak Republic applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the court competent for the Seller’s registered office.
